Terms of Service

These Terms of Service ("Terms") are a binding agreement between Sociable AI, Inc., a Delaware corporation ("Sociable," "we," or "us"), and the business or organization accepting these Terms ("Customer" or "you"). They govern access to sociable.how, our web dashboard, mobile application, browser extension, support, and related business social-media services (collectively, the "Services").
By creating an account, clicking to accept, signing an order form, or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Services.
1. Eligibility and scope
The Services are only for business and professional use. Each individual user must be at least 18 years old and legally capable of entering a binding agreement. You may not access the Services if doing so is prohibited by applicable law or if we have previously suspended or terminated your access.
We do not intentionally offer the Services in the European Economic Area or United Kingdom at this time. Additional terms, an order form, or a product addendum may govern particular paid, API, data, beta, or enterprise services. If those documents conflict with these Terms, the more specific document controls for that service.
2. The Services
Sociable provides tools for public social-media discovery, engagement, connected-account comments and messages, analytics, AI-assisted drafting and classification, and customer-configured workflows. Instagram information used by the Services is obtained through Meta's official APIs and webhooks.
Features may change over time. We may add, modify, limit, or discontinue features, impose reasonable usage or rate limits, or provide maintenance and updates. We do not guarantee that any third-party platform, integration, public post, metric, or feature will remain available.
3. Accounts and workspaces
- You must provide accurate account information, keep it current, protect credentials and devices, and promptly notify us of suspected unauthorized use.
- You are responsible for every user you authorize, for assigning appropriate workspace permissions, and for activity under your accounts and workspaces.
- Workspace owners and administrators may manage users, content, integrations, billing, exports, and settings and may access information associated with the workspace.
- You may connect only social-media accounts that you are authorized to access and manage.
4. Customer responsibilities and acceptable use
You are responsible for your content, instructions, recipients, workflows, published communications, and use of results. You must obtain all permissions and provide all notices required to use information through the Services. You must comply with applicable laws, Meta and other third-party platform terms, intellectual property and publicity rights, advertising and endorsement rules, privacy law, and anti-spam and electronic-communications law.
You must not use the Services to:
- Violate law, third-party rights, platform rules, sanctions, or export controls.
- Harass, threaten, discriminate, impersonate, deceive, defraud, manipulate engagement, or send unlawful or unsolicited messages.
- Collect or infer sensitive traits, make eligibility decisions about housing, employment, credit, insurance, education, government benefits, or immigration, or conduct surveillance.
- Upload malware; probe, disrupt, overload, or bypass security; access another customer's data; or interfere with the Services or third-party platforms.
- Reverse engineer, copy, resell, sublicense, or create a competing service from the Services except as expressly allowed by law or a written agreement with Sociable.
- Use output or social data to re-identify people, build unlawful profiles, or contact or target individuals in violation of law or applicable platform rules.
5. AI features and automation
AI-generated classifications, drafts, summaries, and recommendations may be inaccurate, incomplete, duplicative, inappropriate, biased, or potentially infringing. They are not professional advice. You are responsible for evaluating output and for deciding whether and how to use it.
In the mobile app, each AI-generated comment or message requires a user's affirmative review and send or handoff action. You must review that output before publication.
On the web, you may configure and enable sequences that respond automatically when selected triggers occur. By enabling a sequence, you instruct Sociable to generate and send the configured reply or direct message without per-message review. You remain responsible for triggers, recipients, frequency, content, monitoring, stopping the automation when appropriate, and compliance with law and platform rules.
6. Public content, hiding, and reports
Discovery features may display public social-media content and account information supplied through official platform APIs. That content belongs to its respective creators or rights holders, not Sociable. Availability in the Services does not grant you ownership or permission to reuse it outside the Services.
You may hide content or a creator from your own discovery experience and report content to Sociable. A report is submitted to Sociable and is not necessarily submitted to Instagram. We may review a report and suppress content, adjust discovery or safety systems, restrict an account, refer a matter to a platform or authority, or take no action. We do not promise a particular outcome.
7. Customer content
As between you and Sociable, you retain your rights in content, instructions, brand materials, documents, and original drafts you submit to the Services ("Customer Content"). You grant Sociable a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, modify, and process Customer Content only as reasonably necessary to provide, secure, support, and improve the Services and as otherwise directed by you.
You represent that you have all rights and permissions necessary for Sociable to process Customer Content and carry out your instructions. Do not submit government identifiers, payment-card numbers, health information, biometric identifiers, or other sensitive information unless expressly supported and lawfully authorized.
8. Sociable property and feedback
Sociable and its licensors own the Services, software, interfaces, documentation, designs, models, workflows, and related technology, excluding Customer Content and third-party content. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services for your internal business purposes during your subscription.
If you provide feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.
9. Third-party services and platforms
The Services interoperate with Meta and other third-party products. Your use of those products is governed by their terms and privacy policies. Sociable does not control and is not responsible for third-party products, changes, outages, actions, content, or decisions to restrict access. You authorize us to exchange information with a connected service as needed to carry out your instructions.
10. Fees and subscriptions
- Fees, billing periods, usage limits, and plan details are shown at checkout or in an order form. Fees exclude applicable taxes unless stated otherwise.
- Subscriptions renew automatically for the selected monthly or annual period until canceled. You authorize recurring charges to the payment method on file.
- Trials convert to the selected paid subscription unless canceled before the displayed trial end. Failed payments may be retried and may lead to restriction or suspension.
- Upgrades and added seats may take effect immediately with prorated charges. Downgrades ordinarily take effect at the next renewal.
- Cancellation ordinarily takes effect at the end of the current paid period. Fees are nonrefundable except where required by law or expressly stated in an order form.
- The Android app is free to download and does not currently offer purchases. Subscriptions are purchased and managed through authorized web billing flows.
11. Suspension, cancellation, and deletion
You may stop using the Services or cancel a subscription at any time. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful or abusive conduct, third-party platform requirements, or conduct that may harm Sociable, users, or others. When reasonable, we will provide notice and an opportunity to cure.
Subscription cancellation does not immediately delete data. Cancellation ordinarily takes effect at the end of the current paid period. When it takes effect, deletion of data associated with the canceled subscription begins as described in our Privacy Policy. If a written contract requires us to return data, we return it before deletion. You may request earlier account or workspace deletion in the mobile app or at app.sociable.how/account-deletion. Sections that by their nature should survive termination, including payment obligations, ownership, disclaimers, indemnification, liability limits, and dispute terms, will survive.
12. Confidentiality
Each party may receive nonpublic information identified as confidential or that reasonably should be understood as confidential. The receiving party will use reasonable care to protect it and use it only to perform under these Terms. This duty does not apply to information independently developed, lawfully received without restriction, already known without duty, or made public without breach. A party may disclose information when legally required after giving notice where legally permitted.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUTS, PUBLIC CONTENT, ANALYTICS, AND THIRD-PARTY INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOCIABLE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE, OR THAT OUTPUTS OR PUBLIC DATA WILL BE ACCURATE, COMPLETE, UNIQUE, LAWFUL FOR YOUR INTENDED USE, OR ACHIEVE A PARTICULAR RESULT.
14. Indemnification
To the extent permitted by law, Customer will defend, indemnify, and hold harmless Sociable and its officers, directors, employees, and affiliates from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from Customer Content, Customer's use of the Services, automated or published communications, violation of these Terms, violation of law or platform rules, or infringement or misuse of another person's rights. We will provide prompt notice and reasonable cooperation, and you may control the defense and settlement, except that you may not admit fault or impose obligations on us without our written consent.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS CUSTOMER PAID TO SOCIABLE FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, A PARTY'S FRAUD OR WILLFUL MISCONDUCT, CUSTOMER'S INDEMNIFICATION OBLIGATIONS, OR LIABILITY THAT CANNOT LEGALLY BE LIMITED.
16. Governing law and disputes
These Terms are governed by Delaware law, without regard to its conflict-of-law rules. Subject to any non-waivable right or mandatory law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party consents to those courts. Before filing a claim, each party will make a good-faith effort to resolve the dispute by giving written notice and allowing 30 days for discussion.
17. Changes to these Terms
We may update these Terms to reflect changes to the Services, law, or our business. We will post the revised Terms and update the effective date. If a material change adversely affects existing customers, we will provide reasonable additional notice. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
18. General
These Terms, the Privacy Policy, applicable order forms, and product addenda are the entire agreement regarding the Services and replace prior agreements on the same subject. Customer may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. Neither party is liable for delay caused by events beyond its reasonable control. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Headings are for convenience. Notices may be sent electronically, and electronic acceptance is binding.
